23 December 2011 Can we adjourn an AGM due to non availablity of compliance certificate?

23 December 2011 No, conduct the AGM and then adjourn it.
In this i feel this is the right recourse.

23 December 2011 In my view also expert has suggested the correct method. Simply conduct the AGM and then adjourn the AGM to a later date.

24 December 2011 In our case we are planning to conduct the AGM and adjourn it. so can we place the reason as non availabity of compliance certifcate for adjourning the AGM. Annual accounts are ready,onlu compliance certificate is not obtained.

24 December 2011 Yes you can, But the adjourned meeting must also be held within the statutory period as provided in Sec 166(1).
