Additional Director Regularisation.

10 May 2010 ABC Private Limited appointed X as Additional Director on 04.08.2009.

Company, in the Board Meeting held on 04.08.2009 approved the Audited Accounts for the year 31.03.09 and fixed the AGM on 17.09.09.

Company omitted the Agenda of Additional Director's Regularisation.

Now, the company had EGM 01.09.09 and regularised the Additional Director as a Director.

Experts may review the above facts and advise whether there is any non-compliance on the Regularisation of the Additional Director.

I shall await response of the experts.

10 May 2010 Regularisation is fine.

You may regularise the AD at any GM. Here before the AGM u regularise him at EGM which according to me and read with 257 is fine.

file form 32 within 30 days from of EGM i.e. 01.09.09.

10 May 2010 But let me tell you our most eminent expert Warrier Sir thinks otherwise. So also take his advice.

According to him regularization can be done only at the AGM.

However am 100% sure about my observation and following the same practice.
