about compliance Certificate

A Company whose Paid up capital is Rs. 5 crore. in this case Compliance Certificate will be apllicable on the Company or not??????

If you go by the interpretation of COMPANIES (APPOINTMENT AND QUALIFICATIONS OF SECRETARY) AMENDMENT RULES, 2009 - AMENDMENT IN RULE 3 introduced vide NOTIFICATION NO. G.S.R. 11 (E), DATED 5-1-2009 then if paid up capital of your company is exactly 5 crore then you don't have to file compliance certificate. But you have to appoint a whole time Company Secretary.
