02 June 2010 can anybdy give me format of board resolution for passing resolution of issue of new certificates to the share holder who has lossed the old certificates. plz................its very urgent.

02 June 2010 "RESOLVED that whereas the company received a request for duplicate share certificates for 100 shares covering the distinctive numbers from ... to .... in lieu of those shares that are lost from Mr. Pankaj, the holder thereof,and whereas the said holder, Mr. Pankaj, has advertised such loss of share certificate in a daily newspaper having all India circulation, and whereas the said Mr. Pankaj has also executed an indemnity bond to the satisfaction of the Board of Directors, providing bank guarantee in support thereof, one duplicate share certificate be issued to Mr. Pankaj bearing consecutive numbers from ... to .... in lieu of the original certificate under common seal of the company to be affixed in the presence of any two Directors and Secretary who shall also sign the same."
