my company already board of directors if 4 members now 1 members reliving to my company but now board of directors if 3 member and change to share capital ratio. can you help for how to change of memorandum of association. and ROC

However if there is any change in shareholding pattern of the company by transfer of share or allotment of new shares there is no need to alter the memorandum.
Further if there is any change in board of directors of the company by new appointment or cessation there is no need to alter the memorandum.
