13 August 2015 For appointing a WTD in a PRIVATE LTD COMPANY, is filing of MGT-14 needed along with Form DIR-12? Also do I need to file MR-1 ?

13 August 2015 Yes..Section 196 is applicable to Pvt Co also.
The WTD shall be first appointed in Board Meeting and approval of shareholders is required in subsequent General Meeting.
You are required to file Form MR-1 and DIR-12.
However you are not required to file Form MGT-14 for the board resolution of the appointment, because the exemption has been given to Pvt Company w.e.f 05th June 2015 in this regard.

Please refer Section 196, its corresponding rules and Notification dated 05th June 2015.
