28 October 2010 An Indian Company has a WOS in Singapore.The WOS wants to change its constitution to an independent entity.In other words,it doesnot want to be a WOS anymore.

What are the formalities required for this purpose ?

03 November 2010 Than you need to transfer the holding from the Indian Co to one required. The subsidiary means one who holds more than 50% shares or control the board.

Thus as applicable, change the control or transfer the shares
