To incorporate wholly owned subsidiary companies, one shall abide the provisions of Section 186 of companies Act, 2013. The procedure for incorporation of WOS is enumerated below in brief:
Passing resolution at Board Meeting or Members’ Meeting as applicable for
o investing into subsidiary;
o authorising a director to act as authorised person to carry out necessary actions to bring the subsidiary in existence;
o to authorise one of the director to be hold at least one share in capacity of director, in order to fulfil requirement of minimum members.
· Application in Form INC 1 for name approval of the company.
· Drafting of required documents including MoA and AoA.
· Filing of SPICe forms with MCA by filing required documents for incorporation of Company.
The supporting documents are narrated below:
· KYC documents of director & subscribers
· Board/Members’ Resolution of Holding Company
· Business Address Proof
