Please share details regarding the wholly owned subsidiary companies, and share the supporting documents.

18 September 2017 To incorporate wholly owned subsidiary companies, one shall abide the provisions of Section 186 of companies Act, 2013. The procedure for incorporation of WOS is enumerated below in brief:

Passing resolution at Board Meeting or Members’ Meeting as applicable for
o investing into subsidiary;
o authorising a director to act as authorised person to carry out necessary actions to bring the subsidiary in existence;
o to authorise one of the director to be hold at least one share in capacity of director, in order to fulfil requirement of minimum members.

· Application in Form INC 1 for name approval of the company.
· Drafting of required documents including MoA and AoA.
· Filing of SPICe forms with MCA by filing required documents for incorporation of Company.

The supporting documents are narrated below:

· KYC documents of director & subscribers
· Board/Members’ Resolution of Holding Company
· Business Address Proof
