If the Director and Managing Director of a Pvt. Ltd. Company has decided to not to take Director's Remuneration/Salary due to financial crisis of the Company except Rs.1/- as a token and the rent for the residence which was received by them as perquisite, do we require to hold EGM for approval of the shareholders or just approval of the Board of Directors is enough?

Being an independent Private Limited Company, Board's approval is enough.
