Uploading of documents on roc website

Is it necessary for two Directors to sign the financial documents of a pvt ltd company which is to be uploaded on website of ROC

Financial Statement shall be signed on behalf of the Board by the chairperson of the company where he is authorised by the Board or by two directors out of which one shall be managing director, if any, and the Chief Executive Officer, the Chief Financial Officer and the company secretary of the company, wherever they are appointed.

The company has total 2 directors out of which one Director's DIN has been struck off leaving with only one director. More over the company in question has no business for last 3 years and is to be closed.Any option available under this circumstances
