24 January 2012 The Chairperson informed the Board that Share Certificate No. 5, along with duly filed Share Transfer Deed has been presented to the Company for transfer of Shares from Mr. A to Mr.B.
The Board discussed the matter and passed the following resolution.

RESOLVED THAT Pursuant to section 108 or any other applicable act of Companies Act 1956, _______Shares having distinctive numbers From ______ To__________ are being hereby transferred from Mr. A to Mr. B.

FURTHER RESOLVED THAT Mr. X is authorized as Authorized Signatory to sign on back of the Certificate and to make necessary entries in Share Transfer Register and Register of Members.
