The Chairperson informed the Board that Share Certificate No. 5, along with duly filed Share Transfer Deed has been presented to the Company for transfer of Shares from Mr. A to Mr.B.
The Board discussed the matter and passed the following resolution.
RESOLVED THAT Pursuant to section 108 or any other applicable act of Companies Act 1956, _______Shares having distinctive numbers From ______ To__________ are being hereby transferred from Mr. A to Mr. B.
FURTHER RESOLVED THAT Mr. X is authorized as Authorized Signatory to sign on back of the Certificate and to make necessary entries in Share Transfer Register and Register of Members.
