Please provide me a Specimen Board/ Ordinary /Special Resolution in case a Private Limited Company is purchasing a Proprietorship Firm.

11 August 2012 RESOLVED THAT the company be and is hereby authorised to take over the business, assets and liabilities of the sole proprietorship concern M/s._________.

RESOLVED FURTHER THAT Mr. X be and is hereby authorised to do all such acts, things and deeds as are necessary pursuant to or in connection with the above take over.
