RESOLVED THAT the company be and is hereby authorised to take over the business, assets and liabilities of the sole proprietorship concern M/s._________.
RESOLVED FURTHER THAT Mr. X be and is hereby authorised to do all such acts, things and deeds as are necessary pursuant to or in connection with the above take over.
