26 April 2010 A private limited company wants to takeover another private limited company, section 395 will be applicable.. is there any need of filing Form 35 A by the transferor company and is there any other compliance apart from section 395

27 April 2010 Section 395 is not applicable. Moreover no need for other formalities.
Just do 2 steps
(1) Transfer the share
(2) Retire exisitng director and appoint new director of ur own
