what are the aspects to be looked into for separating a subisidiary company from its holding company to give the former an independent status - both are government companies.

As per Sec 4 criteria for beocming subcidiary are: 1. A company should control the composition of Board of Director of the other co. or 2.A Company should hold more than 50 % of equity share of the other company, or 3. a company should be subsidiary of other co. which is its subsidiary.
So confirm that none of the above criteria is fulfilled so that company can retain its independent status.
