an existing partnership company wants to become subsidiary of another company with out losing its identity

To be subsidiary firm need to convert itself into Company than only it can become subsidiary.
So convert the firm into Company & than transfer the shares to converted Company
So convert the firm into Company & than transfer the shares to converted Company
