26 July 2010 it is necessary to give affidavit of all the directors of proposed holding and subsidiary company.

if possible plz give me the format of documents which are required to obtain certificate of subsidiary from Registyrar of companies.

27 July 2010 actually we are going to make a private co. a subsidiary of public company for exemption of stamp fees on property sale.read this-

(As per Clause 54 of Notification No . M599/X-501 dated 25th March,1942 issued by Govt. of Uttar Pradesh and Notification No 1 dated 16th January, 1937 issued by Central Board of Revenue, Ministry of Finance, transfer of property to a subsidiary by its holding company having more than 90% of its shares is exempt from stamp duty.)

for this we require certificate of subsidiary from the ROC so that we show that to the other authority.

for obtaining certificate from roc we have to give following docs:

1.affidavits of ditectors

2.poa

3.Board Resolutions

4.request letter

5.other details

now i wnt to confirm whether all directors affidavit is necessary? because there is common directors in both companys.

27 July 2010 It would be easy for the ROC to issue the certificate it the affidavit is signed by all the Directors.
