A (Gujarat) is amalgamating in B (Chennai) A does not have any property in Gujarat. What would b stamp duty implications?

Then you will have to refer to TN Stamp Act. In TN, as they have not included tranfer by court order as liable for stamp duty, I think the court order itself will be final conveyance of tittle.
