The Shareholders of ABC pvt. ltd. are selling their shares to company at par and company will issue that shares to other persons at premium.

Please guide me the process and if possible please provide me the resolution for purchasing of shares by Company.

15 July 2010 Purchasing of shares by the Company would mean buy-back of shares for which the relevant provisions ofthe ACt are applicable (Sec. 77A)

The buy back cannot be done beyond the limits applicable under that section and as applicable to your company.

Shares bought back are cancelled and cannot be re-sold further.
