One director who is subscriber of share in MOA of a pvt. ltd. wants to transfer the share to new appointed director, in such case what will be procedure ?

1) Check whether the AOA permits such transfer.
2) If so convene board meeting and pass resolution for transfer.
3) Execute share transfer form.
4)Make endorsement in share certificate and hand over to transferee.

Is it required to file any form with ROC?

No Form is required to be filed with ROC in case of transfer of shares.
