Share transfer

This query is : Resolved

If A & B are members of a company, and A transfer his part of shares to C. will C also have rights which are vested with A by virtue of his share holding?

the Company is a public Company.

Vrinda,

Please specify your query. Anyways subsequent to C becoming a member he will be entitled to all the rights and liabilities in the Company because he has the membership of the Company. Please specify the case so that the query is answered in its relevance.

Will C have the same rights as A has? will the transfer inlcude passing of all the rights.

will the Assigns, executors also include transferees?

C will have only those rights which was transferred to him as a shareholder. IF A was also a one of director for being a shareholder than C will not became director. As this was a separate assignment. So Finaly C will get all those rights which A have as a shareholder only.

from where do you get this under Companies Act? do we have a provision which specifie that rights are segregated from ownership of shares
