16 July 2012 Fair value of share is the ruling market price if listed else derived market price based on price multiples, recent comparable trsanction or DCF, or combined.

Fair value of the option means the expected movement of the share price in future considering the period, volatility, interest rates in the market LESS the exercise price of the share at that future date.
