section 300 and 287....Does section 300 supercede sec 287

all the directors of a pvt ltd company are interested in a contract under section 297. in that case how to pass a Board resolution for taking prior approval of RD???

Section 300 exempts pvt company ....does dat mean v do not need to comply with section 287???

06 August 2010 Even Sec 287 states that there should be disinterested quorum at Board Meeting.

So you can pass 297 resolution for absence of quorum.

Thus, you have to pass ordinary resolution at general meeting.
