My Public Limited company needs consent of Board of directors u/s 297 of the companies Act, 1956 but all the directors are interested

can the company take approval of members in place of directors u/s 297?

20 July 2010 Yes, In case there is no disinterested quorum in Board Meeting it need to be passed in General Meeting by Memebrs approval
