i want to appoint my director as MD of my public company having only 2 crore paid up capital. whether form 25A/25C should be filed.

04 April 2010 25A is to be filed only when central govt approval is required for appointment / reappointment or increase in remuneration or for waiver of excess remuneration.

Form 25C would have to be filed even in cases where central govt approval is required but 25A is required only for the above.

In case where the appointment is made in terms of sch XIII and the remuneration is within the limits prescribed by the act or in accordance with sch XIII, where central government is not required, only Form 25C is to be filed.
