21 September 2011 As per the Section there is a requirement to get approval of central govt if the number of directors is to be increased beyond 12.

But can pls someone clarify that if the articles with which the company has been registered permits appointment of more than 12 directors, whether the permission of central government is required for continuing the same?

21 September 2011 Dear Manisha,

If the articles permit to appoint more than 12 directors in a company, then you have to change the AoA of the company and comply with the Act. The Act is the boundary which we cant go beyond that. Thus a company can appoint max 12 directors if more than that we have to approach central government to get their approval.
