SECTION 265 PROVIDES THAT AOA OF PUBLIC COMPANY OR PRIVATE COMPANY WHICH IS SUBSIDIARY OF PROVIDE FOR APPOINMENT OF DIRECTORS BY PR.THIS IS FOR PROVIDING REPRESENTATION OF ALL SEGMENTS OF THE SHAREHOLDERS
