We are planning to close of pvt. ltd company. If we pay full salary for April & May to our staff, is there is any liability on Co. side.

It is advisable not to escape statutory tax liability.
If salary is taxalbe, you should deduct TDS accordingly and deposit the same on time.

April & May month salary will not cross the Statutory limit. i.e. below Rs.1,60,000/=. Can I make salary without TDS

Yes you can do so if salary for 2 months does not exceed Rs. 160,000/-.
