can anybody provide me the resolution under section 212(8) of comapnies act, 1956 for the purpose of attaching the same with eform 23AAB. please ASAP as its quite urgent.

11 September 2009 Dear Shital

As per the Rule 7D of Companies (Central Government's) General Rules and Forms,1956, the Application for seeking exemption u/s 212(8) has to be made in eForm 23AAB. While filing the form, a copy of Board Resolution for the aforesaid purpose has to be attached. This form is available at MCA website.

Resolved that pursuant to section 212(8) of the Companies act 1956, an application in e form 23AAB be made to the MCA seeking exemption from attaching the annual accounts of the subsidiary company..................in Iraq for FY 2009-10 in view of the outbreak of war...

Further resolved that Mr........is be and is hereby authorised to.............
