Dear ColleagueS
If a Director has tendered his resignation to Board and the Board doesnot accept his resignation nor file Form-32. In this situation what the Director who wants to quit has to do??
Please clarify. If any case laws available plz share.

Once Director has served his resignation in written, nothing on his part remains to be done!!!!
It is on the part of Company to take necessary action like E-Form 32 Filing and make entries in Register of Directors....
Director is required to intimate his resignation in Written to the company. Further to defend him with any problem in future, as a proof of serving resignation Letter, He should attach the resign letter in E-Mail also and send this to Board.

There is no specific provision in companies act in regard to the resigantion of the director.It becomes effective as soonas it is submitted.
