What is d procedure of removal of director from pvt ltd company?????

Section 284 of the companies act deals with removal of directors.
Step 1 : you should receive special notice from the shareholder the request alongwith reason.
Step 2 : You have send the copy of notice received to the proposed direcotr whom you want to remove.
Step 3 : Conduct the board meeting, bring in the subject of removal of director and under which the removal is proposed. Invite the director to speak at the board meeting.
Step 4 : Conduct egm, pass special resolution.
Step 5 : conduct board meeting and authorise a person to file the necessary forms to roc and to sign digitally.
Step 6 : File form 23 to roc
Step 7: File Form 32 for removal.
Step 8 : Communicate to all banks and financial institutions.
Step 9 : If required the same should be published in paper if he is a working director or closely associated with thecompany.
