In a private company , there are two (2) director, one of them resigned from directorship from 16th Dec,2010.
What is the procedure for removal of director. and appointment in place of that director.
Explain this in short.

If there is only two director you can't remove a director before appointing anyone as per law there should be min of 2 director 1st appoint a director then remove.

First of all there should minimum 2 Directors.
Appoint Director first by filing form 32 to ROC.
Then File 32 for removal of Director.

whether thisis possible in single form 32 i.e. appointment & removal

it is only possible in one Form 32 if the date of appointment and resignation is same..otherwise you have to file two different forms.

First appoint a new director before 16.12.2010 and file form 32. Wait for the approval of this form 32. After approval of the same on roc site. File second form 32 for resignation of another dir.
