Related to conversion of llp into private limited company

17 January 2016 We are in the process of conversion of llp into private limited company. shall we have to prepare balance sheet for both that is for llp and private limited or we have to prepare balance sheet only for private limited company? from income tax point of view shall we have to file return for both or for private limited company? and from roc point of view shall we have to file annual return for llp till the conversion?
