In a Pvt Ltd Company 2 Directors are there. and in a related party transaction one of the Director is interested then how to pass the resolution at Board meeting?

In June 2015 the Ministry of Corporate Affairs issued a Notification granting exemptions to private companies, from certain requirements and compliances stipulated by the Companies Act, 2013.It has been provided in
the notification that in case of private limited company such a director may participate in the meeting after disclosure of his interest.
