28 May 2010 Dear Experts,

ABC Private Limited is based in Mumbai.

The company has

- two directors and
- no employees and
- no business.

The two directors are residing in Hyderabad.

Once in a year, one director may visit Mumbai to meet the company's Auditor.

Query :

How the company will comply with the holding of AGM (with one Director at Mumbai and another Director at Hyderabad) ?

Experts may guide on the matter.

29 May 2010 Since the registered office at Mumbai you should hold meeting at mumbai. Ask your Hyderabad director to appoint proxy who is staying in mumbai. Then let that person attend the agm alongwith mumbai director. This is allowed as per companies act.

The AGM has to be conducted for the Shareholders not the directors. If the share holders are there then even one director present will also be deemed to be a valid AGM.

I guess from your query that the Directors are not the only shareholders.

If Directors are the only shareholders then you can follow the advice of learned expert as above mentioned.
