pls tell me what is procedure for increase share capital in pvt ltd?

and purpose for that?

03 March 2012 Whenever company wants to allot shares beyond Authorised Share Capital mentioned n clause V of MOA, It will have to first Increase Authorised Share Capital by altering Clause V of MOA U/S 94 read with Section 97 of Indian Companies Act 1956.

Procedure for the same would be as follows:

1. Conduct a Board Meeting!

2. Decide upon Matter of Authorised Share Capital as to how Much of Equity/ prefence being increased!

3. Approve Notice of General Meeting with explanatory statement! read with

4. Authorise some Director/Secretary to issue notice of General meeting!

5. Authorise Some Director/Secretary/Manager to issue form 5!


Conduct General Meeting

Pass Ordinary Resolution U/S 94 read with 97 in General Meeting!

File E-Form 5 with altered MOA.
