Greetings...!!
there are two directors in a pvt ltd company and they both are interested in another pvt ltd company now they disclose their interest by filling form MBP-1 but resolution passed in the company is signed by one of the interested director only and MGT 14 is also digitally signed by one of the interested director.
So kindly clarify is it possible i mean interested director can not vote so how can he sign ..? urgent plz reply

ankit if you are talking about resolution of adoption of Mbp-1 Then it can be signed by one of such dorector.

Yes i am talking about adoption of MBP-1.
but as per old companies act interested directors can not vote in respect of a matter in which he is interested. so how can he sign that resolution of adoption of MBP-1.??

Its just adoption of mbp-1 which will be given by all directprs. So one require to sign anfd file.
