A pvt ltd company 2 director was exit but out of two one has died and 45 days have been passed . we have not intimate to ROC till now.

now we have to appoint a director so what procedure we will have to follow.

15 July 2011 File form 32 for the death of the Director intimation and new appointment.,

Filing Form 32 for Deceased (Death) Director

1. Name of the Company and CIN no.
2. Name of the Deceased Director.
3. Date of Birth.
4. Date of appointment.
5. Date of filing of Form 32 for appointment.
6. Date of Death.
7. If the Director has DIN no provide there.
8. E-mail id.
9. Company MOA, AOA, Death Certificate attached to mail.
10. Send it to MCA DIN CELL office, Noida.
11. After 15 or 30 days from MCA DIN CELL give a Reference No to the mailed address, that reference as be six digit no.

After, download Form 32 and filled it manually in hand written. One Executive Director manually sign with Company seal and One Practicing Company Secretary or Auditor shall manually sign and seal with associate no.

Physically submit document to Registrar Office

1. covering letter
2. payment Challan Rs. 500 for Form 32
3. Form 32
4. Death Certificate true certified
5. mail copy of Reference No coordinate with MCA DIN CELL
