Dear experts,
Please tell me what is procedure for change in post of a director to Managing Director.
E.G. What to do If a Director of a company, now became Managing Director of Company.
1) Is it necessary to inform to ROC ?
2) What are documents required ?
3) Other procedure (If any)

yes appointment of MD is little lengthy process.
The appointment of procedure is governed by Section 267, 268 and 269.
This appointment requires filing of e form 32, 25C, 23.
And if situation demand form 25A also.

Sir, if it is a public company and the paid up capital is Rs. 5 crore or more then you have to follow section 269 and alongwith the Schedule Schedule XII of the companies Act, 1956.

This is a private limited company (Subsidiary of Foreign company registered in Korea) still the procedure will be same ? or there is different procedure for private limited company ?
Authorised and Paid up capital is 65 Lacs.

Section 268 and 269 and Schedule XIII shall be applicable only on Public ltd Company and Pvt ltd Company which is subsiadiary of Public ltd Company.
In case of your company Appointment of MD shall be governed by AOA. If AOA is silent on this then pass a Board Resolution and need to file form 32 only for change in designation.
