25 November 2009 I humbly request to solve my query in relation of redemption of preference shares by pvt limited company;

1) What procedure the company has to follow to redeemed its preference shares.

2) Whether Any forms have to be submitted to ROC for redemption of Preference shares.

3) Also please send me the format of resolution the private limited company have to passed.

25 November 2009 1) Board Resolution and then payment to the shareholder out of profits or out of proceeds of fresh issue of pref shares.
2) Form No. 5 for redemption
3) Board resolution: a simple board resolution will do. You may draft and put it on site for approval.
