Dear all,
Our company wants to re-appoint a whole time director and he is above 70 year of age,
Can some body tell me procedure for appointment of of above WTD and what eforms required to be filed with MCA.

The appointment of whole-time
director and the terms and conditions of such appointment and remuneration payable thereon must be first approved by the Board
of directors at a meeting and then by an ordinary resolution passed at a general meeting of the company.
Provided that appointment of a person who has attained the age of 70 years may be made by passing a special resolution
in which case the explanatory statement annexed to the notice for such motion shall indicate the justification for appointing such person.
You have to file following e forms;
1. MGT- 14- Within 30 days of passing special resolution
2. MR. 1- Return of appointment of WTD within 60 days from the date of apointment
3. DIR- 12- Within 30 days of appointment
