dear, is it required to file mgt l4 for special or ordinary resolutions passed u/s l88?

No need to pass special resolution on or after 26.05.2015. As per Companies Amendment Act 2015, the word special resolution has been replaced with 'resolution. Hence, you can pass ordinary resolution.
