As per sec 149 the maximum no. of directors a company can have is limited to 15.
Suppose the articles of association of abc Ltd provide that maximum number of directors in the company shall be 10. The broad of the said company now desires to increase the number of directors to 15. Can this be done? And also could you let me know if a special resolution for the same needs to be passed? and the procedure??

For increasing the number of directors upto the limit (I.e, 15Nos), no approval of Central Govt is required. If it exceeds the limit, then only CG approval required.
Since the change will result in alteration of MoA/AoA, it should be complied with an EGM & Special Resoluton to be passed.
