04 July 2011 plzzzzzzz sir i want to know the procedure to issue FCDs by a private company and related resolutions for this.

and can private company can issue unsecured FCDs ?

04 July 2011 Procedure:

Pass Board resolutions for:

- For issue of debentures u/s 292(1)(b)
- For creation of equitable mortgage
- Creation of trust
- Appointment of debenture trustees u/s 117B
- Approval of draft trust deed
- Approval of form of debenture certificate and authority to issue the same
