procedure for appointment of the auditor

i as a company had appointed the auditor in the AGM but later the auditor had resigned as he went out of station so now i want to know the procedure to be followed to appoint the new auditor

The company has to call an EGM and put forth the resignation of previous auditor and appoint the new auditor.
The rest procedure will be same as described in Sec 224.
