Does the outsourcing of accounting function by a company require any mention in or ammendment to memorandum of association or the passing of a resolution in a meeting. If yes, then what is the procedure.

No. No resolution is required for this purpose. But if the books of accounts are to be kept at a place other than the registered office in India. Pass Board resolution & intimate the ROC with in 7 days in e-Form 23AA. After this books of accounts can be kept at any place other than registered office
