Notice for re-appointment of md with expl. stat. in a pvt co

26 October 2011 The company is a public company. we want to convert the co. into a pvt co. by passing a Spl. resolution in the agm. we also want to re-appoint the md of the co. in the same agm, as his term is also expiring in dec 2012. Please let me know if it is possible? If yes, kindly provide the whole procedure including alterations to be made in articles of association of the company?????

09 November 2011 Convert your company in to a private company before December 2012. After conversion section 269 will be no longer applicable to your company.

So after conversion there would not be any need to re-appoint MD.
Further it does not make any sense to re-appoint him in 2011 just bcoz of conversion.
