30 June 2026 Whether an LLP is legally incorporated upon the issuance of the Certificate of Incorporation despite the non-filing of Form 3, and whether a partner can subsequently exit or seek dissolution of the LLP if Form 3 remains unfiled?

30 June 2026 The LLP is legally incorporated upon receiving the Certificate of Incorporation, regardless of whether Form 3 has been filed. However, a partner's ability to exit or dissolve the entity may be obstructed until the LLP Agreement is formally filed and the compliance default is resolved.
