Dear Experts ,
One of our Client is not filled his annual return & never done auditing from last 3 years.i.e 2012-13,2011-12,2010-11.
He has never done any business in this company & not for a single Rs.
Now he got a notice from roc & wants to clear this matter.
we needed your help how to suggest him to move further.
Please Help

Get the accounts audited and file Form 23AC, 23ACA, 20B and 23B with additional fee.

For the Delay upto 30 days : Penalty is Two times of normal fee.
For Delay of More than 30 days and upto 60 days : Panalty is Four times of normal fee.
For Delay of More than 60 days and upto 90 days : Penalty is Six times of normal filing fee.
And Finally if Delay is for More than 90 days : Penalty is Nine times of normal filing fees.
For Delay of More than 30 days and upto 60 days : Panalty is Four times of normal fee.
For Delay of More than 60 days and upto 90 days : Penalty is Six times of normal filing fee.
And Finally if Delay is for More than 90 days : Penalty is Nine times of normal filing fees.

What would be the other consequences for eg no AGM, no Board meetings nothing has been done in the company. What could be the penalties for non compliance under companies ACT?

Ankit, you ask your client regarding AGM and board meetings. Since ROC is not informed about this you confirm from client. If held, you simply file the forms mentioning the dates of AGM.
