my co. name is rohan dyes & intermediates limited, i want to start with the business included in my other objects of moa, as far as i knw i have to do the following:
(1) pass spl resolution with explanatory statment in board meeting....&
(2)file form 23
correct me if i m wrong????&
pls provide me the format of spl resolution with exp statment its realy urgent

pls help....

I have already replied to your query dated 17-Nov. Whatever, procedure will be: -

To change object clause, you have to call a General Meeting and pass a special resolution. You have to justify yourself why you are changing object in the resolution.

File resolution along with altered copy of MoA with RoC. Further if name of your company is specific, then you have to check name also, e.g. Your name is X oil ltd, and now new object is to work in Steel, It may not be allowed.

Remember, there is NOTHING LIKE SPECIAL RESOLUTION IN BOD MEETING.
