IF A COMPANY REQUIRES TO APPOINT A COMPANY SECRETARY BUT THAT TIME THERE IS NO COMPANY SECRETARY APPOINTED, THEN IN MINUTES OF THE COMPANY IN WHICH ATTENDANCE IS SUFFICIENT AT THAT TIME.

There will be default u/s 383A of the companies Act and u cant show any other personnel as company secretary of the company instead of CS.

SO WHAT CAN BE DONE IN THIS REGARD TO PREPARE A MINUTES OF THE COMPANY.

The straight thing is that we cant show any other person as a CS until its actually appointed(as per e-form 32), so leave it blank and pay the penalty for it.
